Important Notice

Please read these Terms of Service carefully before using Intelli-BuildAI. By accessing or using our service, you agree to be bound by these terms.

1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "you", or "your") and Atomixair Technologies Ltd ("Company", "we", "us", or "our") governing your access to and use of Intelli-BuildAI, our deterministic building performance, decarbonisation and project delivery platform, together with all of its modules, portals and related services (collectively, the "Service").

By registering for, accessing, or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not access or use the Service.

2. Service Description

Intelli-BuildAI is a software-as-a-service (SaaS) platform designed to assist building professionals in:

  • Calculating Energy Use Intensity (EUI), EPC, SAP, SBEM and DEC ratings
  • Assessing CRREM (Carbon Risk Real Estate Monitor) stranding risk
  • Calculating building services loads, mechanical systems and hot water design
  • Evaluating retrofit measure options, whole-life cost and financial implications
  • Modelling project finance, cashflow, bankability and green asset value
  • Managing design delivery, construction cost, tender bids and client collaboration
  • Generating energy performance reports and compliance documentation

Outputs are produced by deterministic calculation and are reproducible and fully auditable. They remain indicative until verified by a qualified professional, and must not be used as the sole basis for design, construction, or investment decisions without that verification. See section 6.

3. Eligibility and Account Registration

3.1 Eligibility

You must be at least 18 years of age and have the legal capacity to enter into contracts under the laws of England and Wales to use this Service. By using the Service, you represent and warrant that you meet these requirements.

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized access to or use of your account.

4. Intellectual Property Rights

4.1 Our Intellectual Property

The Service, including its original content, features, functionality, software code, algorithms, databases, and user interface design, is owned by Atomixair Technologies Ltd and is protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

Proprietary technology expressly reserved

Without limiting the above, the following are proprietary to Atomixair Technologies Ltd and are protected as patents, patents pending, trade secrets and confidential know-how:

  • The Accelerated Thermal Equilibrium principle and its diffusion-led air distribution implementation, and the patent-pending atomixAIR technology built upon it
  • The deterministic calculation engines that execute CIBSE, ASHRAE and local-code methodologies as code, including their internal resolution, sequencing and reconciliation logic
  • The self-testing golden-vector methodology and the enterprise test agent that continuously verifies calculated outputs against it
  • The provenance architecture that binds each calculated figure to its governing standard, formula, input and assumption
  • The AI-managed control architecture, Intelli-BMS and RetrofitAI technologies, and all associated models, benchmarks and reference data

Nothing in these Terms transfers, licenses or exhausts any right in the above. Access to outputs of the engines confers no right in the engines themselves.

All rights, title, and interest in and to the Service remain the exclusive property of Atomixair Technologies Ltd. These Terms do not grant you any right, title, or interest in the Service except for the limited right to use the Service in accordance with these Terms.

4.2 Your Content

You retain all intellectual property rights in the building data, project information, and other content you submit to the Service ("User Content"). By submitting User Content, you grant us a limited, worldwide, non-exclusive license to use, store, and process your User Content solely to provide and improve the Service.

We may use anonymised and aggregated data derived from User Content to refine our deterministic calculation engines and sector benchmarks, and for research and service improvement, provided such data cannot be used to identify you, your client or your buildings.

We do not train generative models on your content. Your User Content is never used to train, fine-tune or otherwise develop generative or large language models, whether ours or a third party's. This commitment is contractual, not merely a matter of policy.

5. Acceptable Use Policy

You agree not to use the Service to:

  • Violate any applicable laws or regulations
  • Infringe upon the intellectual property rights of others
  • Upload malicious code, viruses, or harmful software
  • Attempt to gain unauthorized access to the Service or its related systems
  • Reverse engineer, decompile, or disassemble any portion of the Service
  • Attempt to derive, reconstruct, replicate or infer the deterministic calculation engines, their internal logic, coefficients, reference data or golden-vector test methodology — including by systematic or automated probing of the Service with varied inputs in order to reverse-engineer its behaviour
  • Use outputs of the Service to train, fine-tune, evaluate or develop any competing model, engine or product
  • Remove, obscure or falsify any provenance record, standards citation, audit entry or attribution attached to an output
  • Use the Service to provide services to third parties without our written consent
  • Scrape, harvest, or collect data from the Service using automated means
  • Impersonate another person or entity

6. Professional Advice Disclaimer

What the Service does and does not warrant

We warrant the method, not the outcome. Our engines execute published CIBSE, ASHRAE and local-code methodologies as code. Accordingly we do warrant that, for a given set of inputs, the Service will:

  • Apply the methodology of the standard it cites, rather than an approximation of it
  • Produce the same output on every run — outputs are deterministic and reproducible, not probabilistic
  • Record the standard, formula, input value and assumption behind each figure, so any figure can be traced and independently checked

We do not warrant that the inputs you supply are correct, that the methodology you have selected is the right one for your building, or that real-world performance will match the model. Those are engineering judgements, and they remain yours.

Critical Notice - Professional Verification Required

OUTPUTS REMAIN INDICATIVE UNTIL VERIFIED BY A QUALIFIED PROFESSIONAL. Determinism and auditability make an output checkable; they do not make it signed off. Until a suitably qualified professional has reviewed and accepted an output, it must not be used as the sole basis for:

  • Final building design decisions
  • Construction specifications or procurement
  • Investment or financing decisions
  • Regulatory compliance submissions
  • Energy Performance Certificate applications
  • Planning permission applications

You must engage appropriately qualified and registered professionals (including but not limited to chartered engineers, architects, energy assessors, and building surveyors) to verify all calculations and recommendations before implementation. The Service is a tool used by professionals; it is not a substitute for one, and it does not assume any professional duty of care owed by you to your client.

"Indicative" here means awaiting professional sign-off — it does not mean unevidenced. The methodology, sample size, measurement boundary and uncertainty range behind every performance figure we publish are set out in our Evidence & Methodology register, so you can assess for yourself what a figure demonstrates and where your own judgement is required.

7. Accuracy and Limitations of Information

7.1 Data Accuracy

The accuracy of outputs generated by the Service depends entirely on the accuracy, completeness, and suitability of the input data you provide. You are solely responsible for ensuring that all data entered into the Service is accurate, current, and appropriate for the intended purpose.

7.2 Calculation Methodology

Our calculations execute established industry standards, published research, and recognised calculation methodologies deterministically, and each figure cites the standard and version applied. Modelled performance is nevertheless a model: actual building performance may vary significantly due to factors including but not limited to:

  • Occupant behavior and usage patterns
  • Local climate variations and weather conditions
  • Building construction quality and workmanship
  • Equipment performance degradation over time
  • Maintenance practices and system operation
  • Changes in energy prices and tariff structures

7.3 Product Recommendations

Product recommendations and specifications provided by the Service are indicative suggestions based on current market information. We do not endorse specific products or manufacturers. You must conduct your own due diligence, obtain current product specifications, and verify suitability for your specific application.

7.4 Published Claims and Marketing Statements

Every performance, coverage, scale and financial claim we publish about the Service is recorded in our Evidence & Methodology register together with its methodology, sample size, baseline, counterfactual, IPMVP measurement boundary, uncertainty range, calculation-engine version and validation result. Where the evidence supports only a narrower statement, the register records the wording we use and the wording we do not. Where a claim is not substantiated, it is marked as such and withdrawn from our marketing.

The register governs. If a statement in our marketing, a sales document or a proposal conflicts with the evidence recorded in the register, the register prevails and the statement should be treated as withdrawn. Figures published as modelled results are modelled, not measured or guaranteed outcomes. Terms describing the format of our outputs — such as lender-ready or investor-ready — describe the documentary standard and governance of those outputs only. They are not an assurance of investment merit, a statement that any facility will be approved, a credit assessment, investment advice or a financial promotion.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

8.1 THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.

8.2 WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT ANY DEFECTS WILL BE CORRECTED.

8.3 IN NO EVENT SHALL ATOMIXAIR TECHNOLOGIES LTD, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

  • Loss of profits, revenue, or business opportunity
  • Loss of data or information
  • Cost of procurement of substitute services
  • Property damage or personal injury
  • Construction defects or failures
  • Regulatory non-compliance penalties

8.4 OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATING TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US FOR THE SERVICE IN THE 12 MONTHS PRECEDING THE CLAIM, OR £100, WHICHEVER IS GREATER.

8.5 THESE LIMITATIONS APPLY REGARDLESS OF THE LEGAL THEORY UPON WHICH THE CLAIM IS BASED, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR OTHERWISE.

Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited under English law.

9. Indemnification

You agree to indemnify, defend, and hold harmless Atomixair Technologies Ltd, its affiliates, officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from:

  • Your use or misuse of the Service
  • Your violation of these Terms
  • Your violation of any rights of another party
  • Decisions or actions taken based on Service outputs without professional verification

10. Errors and Omissions Excepted (E&OE)

While we make reasonable efforts to ensure the accuracy and reliability of the Service, all information, calculations, recommendations, and outputs are subject to errors and omissions excepted (E&OE). We reserve the right to correct any errors, inaccuracies, or omissions and to change or update information at any time without prior notice.

The E&OE provision applies to all aspects of the Service including but not limited to calculations, product recommendations, cost estimates, energy savings projections, and compliance assessments.

11. Data Protection and Privacy

We process your personal data in accordance with the UK General Data Protection Regulation (UK GDPR), the Data Protection Act 2018 and the Data (Use and Access) Act 2025. Please refer to our Privacy Policy for detailed information about how we collect, use, store, and protect your personal data, including the named sub-processors we use, our international transfer safeguards, and your rights in relation to automated decision-making.

Where you invite collaborators, client portal guests or lenders into a project, you are responsible for ensuring you have the authority to share that project's data with them, and for setting their access level appropriately. We provide the controls and the audit trail; the decision to grant access is yours.

12. Service Modifications and Termination

12.1 Service Changes

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.

12.2 Account Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, if you breach these Terms. Upon termination, your right to use the Service will immediately cease.

13. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of law provisions.

Any disputes arising from or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of England and Wales. You irrevocably submit to the exclusive jurisdiction of such courts.

14. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, or if such modification is not possible, the provision shall be severed from these Terms. The validity, legality, and enforceability of the remaining provisions shall not be affected or impaired.

15. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Atomixair Technologies Ltd regarding the Service and supersede all prior agreements, understandings, and communications, whether oral or written.
